Terms of Service

These terms govern your use of checkoutgrade.com and any service or digital product you purchase from CheckoutGrade, operated by Robert Kirby as a sole proprietorship based in Irvine, California ("CheckoutGrade," "we," "us"). By submitting a form on this site, applying for CheckoutGrade Elite, or purchasing anything from us, you confirm that you have read and agree to these terms and to our Privacy Policy.
Not affiliated with Shopify or any platform
CheckoutGrade is an independent service. We are not affiliated with, endorsed by, sponsored by, or otherwise connected to Shopify Inc., Amazon, Walmart, TikTok, Automattic/WooCommerce, or any other platform we reference. Platform names and trademarks are used only to describe the stores and systems we review, and remain the property of their respective owners.
What we provide
CheckoutGrade offers checkout and conversion audits for Shopify stores, developer-ready fix instructions, growth roadmaps, recurring quarterly health checks, and — under the separate CheckoutGrade Elite tier — hands-on implementation work inside a client's own store or seller account. Findings and recommendations are based on manual, human review of publicly visible information (your storefront, checkout flow, and public listings), unless you are an Elite client who has separately granted us scoped access to your own accounts.
No store login required (except Elite)
For every tier except CheckoutGrade Elite, we never ask for or require your store admin, seller account, or CMS login. CheckoutGrade Elite is the sole exception, and even there, access is granted through your platform's own collaborator/staff-invite feature (or a comparable delegated-access mechanism) — never by sharing your account password directly with us.
Payment
Prices are as published on our pricing page at the time of purchase, in US dollars. Payment is processed by Stripe; by purchasing, you also agree to Stripe's own terms as our payment processor. The Quarterly Health Check is a recurring subscription that renews automatically every three months until canceled — you can cancel at any time through the confirmation link in your receipt email or by contacting us directly, and cancellation stops future renewals (it does not refund a quarter already delivered).
Digital products (the DIY Checkout Audit Kit)
The DIY Checkout Audit Kit is a digital product delivered immediately after payment via a download link. Because it is delivered instantly and in full, it is non-refundable once the download page has been accessed. If the files fail to download or arrive damaged, contact us and we'll fix it.
Buying the Kit grants you a single, non-exclusive, non-transferable license to use it for your own business's internal purposes. You may not resell it, republish it, share the download link publicly, or distribute the files to people outside your own business. The methodology, scoring rubric, and materials remain CheckoutGrade's property.
Refunds
Because audit and roadmap work begins promptly after purchase, we don't offer refunds once a report, fix blueprint, or roadmap has been delivered. If you request a cancellation before we've started reviewing your store, we'll refund it in full. If something in your delivered report is factually wrong, tell us — we'll correct it or make it right; that's a service issue, not a refund issue. Digital products are covered by the separate policy above. CheckoutGrade Elite engagements are quoted and scoped individually and are governed by the specific agreement for that engagement, not by this general policy.
Turnaround
We aim to deliver audit findings within five business days of receiving your store URL and payment (two business days for an Elite quote reply). Business days exclude weekends and US public holidays. If something delays us beyond that window, we'll tell you — a delay is not by itself a basis for a refund, but we'll always make it right if we've genuinely dropped the ball.
What you're getting (and not getting)
Our findings and recommendations reflect our professional judgment based on the information available at the time of review. We don't guarantee a specific increase in sales, conversion rate, or revenue — ecommerce results depend on many factors outside our control (your product, market, pricing, traffic, and more). Any example numbers, sample findings, or illustrative report visuals shown on this site are labeled as illustrative and are not a guarantee of your own results.
Our reports are a point-in-time snapshot: they describe what was publicly visible on your store at the time we looked. Stores, apps, themes, and platform behavior change, and a finding may stop being accurate after we deliver.
Not legal, tax, or compliance advice
Nothing we deliver is legal, tax, accounting, or regulatory advice, and we are not your lawyer or accountant. Where a report touches on platform requirements, migration deadlines, privacy notices, payment rules, or similar topics, it is general commercial information based on publicly available guidance — not a compliance opinion, and not a substitute for advice from a qualified professional or from the platform itself. You are responsible for your own store's legal and regulatory compliance.
Your responsibilities
You confirm that any store URL or account you submit is one you own or are otherwise authorized to have reviewed, and that submitting it to us doesn't breach an agreement you have with someone else. You're responsible for implementing any fixes yourself (or through your own developer) unless you've purchased CheckoutGrade Elite's hands-on implementation, and for testing any change before and after you make it — including keeping your own backups. You agree to reimburse us for any third-party claim that arises because you submitted a store or account you weren't authorized to submit.
Intellectual property
The report, fix blueprint, or roadmap we deliver to you is yours to use for your own store. The underlying audit methodology, templates, and site content remain CheckoutGrade's property.
Limitation of liability
To the extent permitted by law, CheckoutGrade's total liability for any claim relating to our services is limited to the amount you paid for that specific service. We aren't liable for indirect, incidental, or consequential damages, including lost profits or lost sales.
Governing law and where disputes are handled
These terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute relating to these terms or our services will be brought exclusively in the state or federal courts located in Orange County, California, and both of us consent to that venue. Before filing anything, please email us first — nearly everything is faster to fix by just telling us what went wrong.
Changes to these terms
We may update these terms from time to time; the date at the top of this page reflects the most recent version. Continuing to use the site or our services after a change means you accept the update.
